Job Description

Responsibilites to Include:
  • Management of the transaction process from LOI approval to close, including (i) efficiently managing external advisors (e.g. financial, legal, tax, commercial, environmental, etc.), (ii) integrating and collaborating with internal parties involved (e.g. investment risk management, portfolio strategy and operations, etc.), and (iii) completion of all closing and post-closing items as required to steward the transaction process to a successful conclusion.
  • Coordinating and participating in the due diligence of Targets including the critical review and analysis of historical financial data, projected financial information / scenarios / plans / key underwriting assumptions, due diligence reports conducted by external advisors (e.g. financial, tax, legal, commercial, environmental), and other relevant information.
  • Performing and / or analyzing industry and company research
  • Conducting due diligence interviews with management of Targets, as required
  • Provide recommendations on normalized / sustainable EBITDA, deal price, working capital requirements / mechanism, earn-outs, etc.

Experience and Education

  • Bachelor's or Master's Degree in Business, Commerce, Accounting (and / or related major) and a CPA or equivalent designation
  • Strong accounting background, audit experience, and technical capabilities
  • Minimum of 15 years of business experience, with at least 8 years of transactions advisory / transactions support services experience in the public practice / client service M&A environment
  • Strong analytical skills and intellectual curiosity, including the ability to synthesize and summarize large volumes of information
  • Effective written and verbal communication skills, and a an affinity to listen, consider and assimilate input from a wide range of constituents
  • Strong project management capabilities, organizational skills, and the ability to handle multiple projects concurrently and deliver high quality outputs on a timely basis
  • Strong leadership capabilities, interpersonal skills, and dedication to fostering a highly collaborative and integrative environment that achieves success through teamwork
  • Results focused and driven by a strong work initiative, with the ability to adapt to new challenges and ideas in a rapidly changing environment
  • Willingness and ability to travel, when necessary
