Position Overview: Immediate Need, temp to hire opportunity. Hybrid work schedule (2 days a week in the office, 3 days at home)

This role provides legal support with a primary focus on corporate governance, covering a wide range of responsibilities for the company and its affiliated entities. Key duties include maintaining corporate minute books, assisting with SEC reporting, managing annual meetings, and handling various corporate legal issues. The position also involves managing new litigation and pre-litigation matters, insurance issues, and legal holds, with an emphasis on balancing business and legal considerations to effectively identify and manage risks.

Key Responsibilities:

  • Provide legal guidance and support on corporate governance and litigation matters, including but not limited to the following:

    • Maintain and organize board and committee minute books, as well as director and officer files.
    • Oversee key corporate governance documents and policies.
    • Plan and prepare for the annual shareholder meeting, including drafting and distributing proxy materials and related documents.
    • Coordinate all aspects of Board of Directors and Committee meetings, including drafting agendas, minutes, resolutions, consents, and managing record-keeping.
    • Handle stockholder matters, including maintaining equity documentation, assisting with equity plan administration, and managing insider trading processes.
    • Prepare and file SEC documents such as Section 16 filings, and provide support for 10-K and 10-Q filings while ensuring compliance with NASDAQ rules.
    • Implement and manage a corporate compliance calendar and maintain records retention programs.
    • Serve as the custodian of corporate records and liaise with auditors regarding corporate recordkeeping.
    • Manage corporate authority structures, including delegations of authority and powers of attorney.
    • Support compliance-related policies and processes, including training, enforcement, and adherence to regulations.
    • Research and stay updated on corporate governance trends, develop internal resources, and maintain organized documentation.
    • Manage all aspects of legal holds, including issuing hold notices, following up with relevant individuals, and ensuring records are maintained in compliance with retention obligations.
    • Track and report on litigation and pre-litigation matters, including key metrics and case statuses.
    • Report claims to insurance providers and manage related communications.
  • Serve as a representative of the Legal department, fostering positive working relationships across all levels of the organization.

  • Perform other duties as assigned by the supervisor.

Qualifications:

  • Education and Experience:

    • Associate degree or equivalent required; Bachelor's degree preferred.
    • Minimum of 5 years of experience as a paralegal, with a focus on corporate or SEC matters, ideally within the retail, hospitality, or restaurant industries.
    • In-house paralegal experience is highly desirable.
  • Certifications:

    • Paralegal certificate from an accredited program required.
